Terms of Service

By creating a VedaMS account or using the service, you ("Customer", "you") agree to these Terms of Service ("Terms"). If you don't agree, please don't use the service. If you're agreeing on behalf of a business, you confirm you have authority to bind that business.

You're responsible for the accuracy of the information you provide and for safeguarding your account credentials. You're responsible for all activity on your account. Notify us immediately if you suspect unauthorized access.

You may add team members and assign them roles. You're responsible for the actions of users you grant access to.

You agree not to:

• Use the service for any unlawful purpose under Nepali law.
• Attempt to disrupt, overload, or reverse-engineer the service.
• Resell or sublicense access without our written consent.
• Upload content that infringes intellectual property rights.
• Use the service to harm, defraud, or deceive others.

Subscriptions are billed monthly or yearly per the plan you choose, in NPR. New subscriptions begin with a 14-day free trial — no card required.

You can cancel at any time from your account. The service continues until the end of your current billing cycle, after which it is not renewed. Refunds for unused portions of a billing cycle are at our discretion and handled per the plan's terms.

Add-ons (additional branches, OCR bill scanning) are billed on the same cycle as your base subscription.

You own your business data. We process it to operate the service for you, as described in our Privacy Policy.

You can export your data in standard formats at any time during an active subscription. After cancellation, your data remains available for export for 30 days before it is deleted.

We target 99.9% uptime, monitored 24/7. Planned maintenance windows are communicated in advance.

We may update features, interfaces, and pricing. Material changes to features or pricing will be communicated at least 30 days in advance via email or in-app notice.

VedaMS — including the platform, brand, designs, and documentation — is owned by VedaMS Pvt. Ltd. We grant you a limited, non-exclusive, non-transferable right to use the service for your business during your subscription. You may not copy, modify, or redistribute any part of VedaMS without our written consent.

We may suspend or terminate accounts that violate these Terms, fail to pay, or pose a security risk. We will give reasonable notice except where doing so would risk the security of the platform or other users.

To the maximum extent permitted by law, VedaMS's total liability for any claim arising from these Terms or your use of the service is limited to the fees you paid for the service in the twelve months preceding the claim.

The service is provided "as is", without warranties beyond those required by Nepali law. We are not liable for indirect, incidental, or consequential damages.

These Terms are governed by the laws of Nepal. Disputes will be resolved in the courts of Kathmandu.
